Next Silicon is seeking a highly skilled Senior Corporate Counsel to join our Legal Department. This role is a cornerstone of our corporate strategy, focusing on equity financing, governance, and the legal management of our global group. You will report directly to the General Counsel and partner closely with Finance, Tax, People, and senior management to drive complex transactions and scale our legal infrastructure.

The ideal candidate is a strategic thinker who balances high-level legal expertise with a hands-on, "ownership" mindset.

Requirements

  • 8–10 years of combined legal experience at a top-tier law firm and a fast-paced technology company. Experience with late-stage private companies is a significant plus.
  • Deep knowledge of corporate law, venture capital structures, and international subsidiary management.
  • A strong sense of ownership and the ability to demonstrate sound judgment in ambiguous or high-pressure situations.
  • Exceptional analytical, organizational, and project management skills, with the ability to manage multiple complex workstreams simultaneously.
  • The ability to work well with and relate to personnel at all levels, including senior management and board members.
  • A professional who operates at the highest level of integrity and thrives in a transparent, collaborative environment.

Responsibilities

  • Lead and manage equity financing rounds and other strategic transactions. Provide counsel through all phases—from initial structuring and term sheet negotiation to due diligence, execution, and closing.
  • Lead the company’s governance framework. This includes board and committee preparation, drafting resolutions, minutes, and organizational documents, and ensuring compliance with the company’s Articles of Association.
  • Oversee the legal maintenance and "entity management" of the company’s global subsidiaries, supporting international expansion and inter-company legal frameworks.
  • Support securities-related matters in connection with financings, and investor engagement. Develop and maintain related processes and controls.
  • Oversee the company’s capitalization table and equity matters, including dilution modeling and partnering with the People/Finance teams on equity-based compensation.
  • Act as a key legal advisor to Finance, Tax, and Accounting teams on audit requirements, corporate policies, and strategic initiatives.
  • Develop and scale legal processes for corporate matters to enhance efficiency and support the company’s rapid growth.
